Yes it was my Windows update. Was missing a service pack thanks guys!!!!that's an error that periodically rears it's ugly head in IE, more often with older versions. Make sure your browser and it's plugins and such (java, flash, .net, etc.) are up to date, as well as windows updates. In the optional winupdates, there was an update specifically to address Flash a while back... might be related to this as well.
Worst case scenario, you can try manually updating the EulaAgreement line in your FFXIV_boot.cfg file from a 0 to a 1 and saving it to see if it lets you move past that screen
